What is VendoPro™ ?

VendoPro™ is a software Program designed for use on palmtop computers using the Palm OS operating system.

VendoPro™ was designed by The Vendo Company to aid in the setup of Vendo vending machines. This program will only communicate with Vendo proprietary Vending Machine Controllers (VMC). Vendo does not support its use on any other manufacturers VMC, nor will Vendo accept any liability for such use.

Historically the setup of a vending machine for first use has been time-consuming. It can require up to 30 minutes to program each machine using the button panel. VendoPro™ has been designed to drastically reduce this time. Once a setup is created, VendoPro™ can program a machine in less than 30 seconds. If multiple machines use the same configuration, the time saved can be dramatic. For example, if eight machines are to each use the same complex configuration setup, programming them through the button panel could take four hours! Using VendoPro™, this time would be reduced to two minutes (plus the time it takes to move from machine to machine). This would be an overall saving of more than 3 1/2 hours.

Once out in the field, VendoPro™ allows for easy modification of setup data. A service technician, or route employee can see at a glance how the vending machine is setup, and quickly make changes without paging through service mode menus via the button panel.

Finally, VendoPro™ allows for the easy gathering of historical and resettable data.

Software License Agreement

NOTICE -- READ BEFORE PROCEEDING TO USE THE SOFTWARE

CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT BEFORE PROCEEDING WITH THE USE OF THIS SOFTWARE. BY ACCESSING, USING OR INSTALLING ANY PART OF THE SOFTWARE, YOU EXPRESSLY AGREE TO AND CONSENT TO BE BOUND BY ALL THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, YOU MAY NOT ACCESS THE SOFTWARE AND MUST IMMEDIATELY DESTROY ANY COPIES RESIDING ON COMPUTER EQUIPMENT.

1. Definitions
The Software is licensed, not sold, to you and The Vendo Company ("Vendo") owns all copyright, trade secret, patent and other proprietary rights in and to the Software. The term "Software" includes all copies of the VendoPro™ computer program and any associated documentation.

2. License Granted
a. Authorized Use. Vendo grants you a nonexclusive license to use the Software on a single computer.
b. Restrictions. You may not: (1) copy, distribute, rent, lease, sublicense, or otherwise transfer all or any portion of the Software; (2) modify or prepared derivative works of the Software; (3) use the Software in a computer-based services business or publicly display visual output of the Software; (4) transmit the Software over a network, by telephone or electronically using any other means; or (5) reverse engineer, decompile or disassemble the Software. You agree to keep confidential and use your best efforts to prevent and protect the contents of the Software from unauthorized disclosure or use.

3. No Warranty
Software is furnished "AS IS" and without warranty as to the performance or results you may obtain by using the Software. The entire risk as to the results in performance of the Software is assumed by you.

4. Disclaimer of Warranty and Limitation of Remedies
a. THE WARRANTIES IN THIS AGREEMENT REPLACE ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY FOR FITNESS FOR PARTICULAR PURPOSE. WE DISCLAIM AND EXCLUDE ALL OTHER WARRANTIES. IN NO EVENT WILL OUR LIABILITY OF ANY KIND INCLUDING A SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE KNOWLEDGE OF THE POTENTIAL LOSS OR DAMAGE.
b. We will not be liable for the loss or damage caused by delay in furnishing the Software or any of the performance under this Agreement.
c. Our entire liability and your exclusive remedies for our liability of any kind (including liability for negligence except liability for personal injury caused solely by our negligence) for the Software covered by this Agreement and all other performance or nonperformance by us under or related to this Agreement are limits every remedies specified by this Agreement.
d. Some states do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.

5. Termination
This Agreement is effective until terminated. You may terminate it at anytime by erasing any copies of the Software residing on your computer equipment. This Agreement will also terminate if you do not comply with any terms or conditions of this Agreement. Upon such termination you agree to destroy the Software by erasing all copies of the Software residing on computer equipment.

6. U.S. Government Restricted Rights
To the extent that this Software is provided to the Government, it is provided only with restricted rights and limited rights. The Government agrees that the Software is "commercial computer software" and that the Government's rights with respect to the Software are limited by the terms of this Agreement, pursuant to FAR Section 12.212 (a) and/or DFARS Section 227.2702-1 and 227.2702-4, as applicable. The terms and conditions of this Agreement will pertain to the Government's use and disclosure of the Software, and will supersede any conflicting contractual terms or conditions. The Contractor/Manufacturer is The Vendo Company.

7. Arbitration
Except for the right of either party to apply to a court of competent jurisdiction for Temporary Restraining Order, supplementary conjunction, or other equitable relief to preserve the status quo or prevent irreparable harm, any controversy or claim arising out of or relating to this Agreement or to its breach of a subtle by arbitration administered by the American Arbitration Association and pursuant to its rules, and judgment upon the award rendered in such arbitration in the intricate any court of competent jurisdiction.
